ระยะฟื้นตัว เป็นช่วงของการสร้างธุรกิจแฟรนไชส์จากบริษัทขนาดกลาง จุดประสงค์เพื่อสร้างร้านจำหน่ายสินค้าของตน เสมือนการเพิ่มช่องทางจัดจำหน่ายโดยกระจายการลงทุนด้วยระบบแฟรนไชส์ และด้วยศักยภาพที่เหนือกว่า สามารถนำเอาความพร้อมขององค์กรมาช่วยสร้างระบบงานและสร้างตราสินค้าได้ดีขึ้น ทำให้ระบบเริ่มมีแนวทางและมาตรฐาน ในระยะนี้ยังมีธุรกิจขนาดเล็กที่สร้างความพร้อมของตนเองให้ดีขึ้น เป็นช่วงที่ประเทศไทยเริ่มปรับตัว พร้อมกับมีหน่วยงานต่างๆ เข้ามามีส่วนสร้างความเข้าใจในลักษณะและรูปแบบของธุรกิจแฟรนไชส์มากขึ้น ซึ่งเป็นพื้นฐานที่ดีต่อการพัฒนาระบบธุรกิจแฟรนไชส์ในประเทศต่อมา

ระยะพัฒนา ซึ่งเป็นขั้นตอนที่ประเทศที่มีรายได้สูงและมีความก้าวหน้าในการพัฒนาระบบธุรกิจ เช่น อเมริกา ได้ปรับระบบธุรกิจแฟรนไชส์เข้าสู่ช่วงนี้แล้ว คือการที่ธุรกิจที่เป็นบริษัทขนาดใหญ่ใช้ระบบแฟรนไชส์เป็นกลยุทธ์ในการขยายตลาด เป็นระยะที่ธุรกิจแฟรนไชส์ขยายตัวอย่างรวดเร็ว สหรัฐอเมริกาเป็นผู้นำด้านระบบแฟรนไชส์ โดยมีสัดส่วนของระบบธุรกิจแฟรนไชส์ถึง 61% ของระบบแฟรนไชส์ของโลก และมีร้านค้าที่เป็นแฟรนไชส์ซีของธุรกิจจากอเมริกาประมาณ 76% ของระบบแฟรนไชส์ของโลก 

เราอาจคาดการณ์ได้ว่าระบบแฟรนไชส์ของคนไทยจะสามารถเข้าสู่ระยะพัฒนาเป็นธุรกิจแฟรนไชส์ที่มีขนาดใหญ่ คงต้องใช้เวลากว่า 3 ปี และหากจะมีระบบธุรกิจที่เป็นอย่างอเมริกาได้นั้นต้องใช้เวลากว่า 10 ปี  ปัจจุบันบริษัทที่ประกาศว่าเป็นธุรกิจแฟรนไชส์ที่เป็นของคนไทยมีถึง 361 บริษัท เป็นแฟรนไชส์จากต่างประเทศประมาณ 50 บริษัท มีสาขาที่เป็นร้านในระบบแฟรนไชส์โดยรวมประมาณ 25,000 ร้านค้า ทั้งนี้เป็นร้านแฟรนไชส์ต่างประเทศกว่า 16%  อย่างไรก็ตามการที่มีหน่วยงานต่างๆ โดยเฉพาะส่วนของรัฐ เชื่อว่าในไม่กี่ปีจากนี้ถือเป็นการปรับตัวแบบก้าวกระโดดของธุรกิจด้านแฟรนไชส์ของคนไทยที่จะช่วยให้มีการขยายประเภทธุรกิจเพิ่มสาขามากขึ้น ความรู้ความเข้าใจของประชาชนทั่วไปต่อระบบธุรกิจดีมากขึ้น แฟรนไชส์ของคนไทยยังเป็นธุรกิจที่ได้รับการตอบรับอย่างรวดเร็วมากขึ้น  ต้องยอมรับว่า การส่งเสริมของหน่วยงานต่างๆ คือ องค์ประกอบสำคัญที่ช่วยสร้างการยอมรับและสร้างความเข้าใจในวงกว้างได้เร็ว
